Terms & Conditions
These Terms and Conditions govern your use of the SheetSyncs application ("the Service") provided by Netfront Pty Ltd ABN [ABN] ("Netfront", "we", "us"). By using the Service, you agree to these terms.
1. The Service
SheetSyncs is a software tool that allows authorised users to import timesheet data from Excel spreadsheets into QuickBooks Online via the Intuit API. The Service is provided on a subscription basis.
2. Eligibility
You must have a valid QuickBooks Online account and the authority to authorise third-party API access to your company data in order to use the Service.
3. Subscription and Billing
Access to the Service is billed at $2 per user per month, where a "user" is defined as an active employee record in your connected QuickBooks Online company at the time of billing.
- Billing occurs monthly via Stripe.
- You authorise Netfront to charge your nominated payment method on a recurring monthly basis.
- Subscriptions may be cancelled at any time. No refunds are issued for partial months.
- Prices may be updated with 30 days' written notice.
4. Acceptable Use
You agree to use the Service only for its intended purpose of importing legitimate timesheet data into QuickBooks Online. You must not:
- Attempt to circumvent any security measures or rate limits
- Use the Service to import false, fraudulent, or misleading data
- Resell or sublicense access to the Service without prior written consent from Netfront
- Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service
5. QuickBooks Integration
The Service accesses your QuickBooks Online company data under the permissions you grant via Intuit's OAuth 2.0 authorisation flow. You are responsible for ensuring that your use of the Service complies with Intuit's Terms of Service and your QuickBooks subscription agreement.
6. Data and Privacy
Our handling of your data is described in our Privacy Policy, which forms part of these Terms.
7. Availability
We aim to provide a reliable service but do not guarantee uninterrupted availability. The Service depends on Intuit's QuickBooks API and Stripe's payment platform, both of which are outside our control. We are not liable for any downtime caused by third-party services.
8. Limitation of Liability
To the maximum extent permitted by law, Netfront is not liable for any indirect, incidental, or consequential damages arising from your use of the Service, including but not limited to data loss, incorrect time entries in QuickBooks, or billing disputes with Intuit.
Our total liability to you for any claim arising out of or relating to the Service shall not exceed the total fees paid by you in the three months preceding the claim.
9. Intellectual Property
All intellectual property in the Service, including but not limited to software, design, and documentation, remains the property of Netfront. Your subscription grants you a non-exclusive, non-transferable licence to use the Service for your internal business purposes only.
10. Termination
Either party may terminate the subscription at any time. Netfront reserves the right to suspend or terminate access immediately if these Terms are breached. Upon termination, your access to the Service ceases and any in-memory session data is discarded.
11. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms. We will provide reasonable notice of material changes.
